Job description

• Responsible for providing strategic and operational legal counsel regarding a broad range of legal affairs, including:
o Contracts
o Drafting and negotiating of various commercial contracts such as:
 Distribution agreements
 Supply agreements
 Service agreements
 Agency agreements
 License agreements
 Manufacturing and supply agreements
 Procurement agreements
 Confidentiality agreements
 Material transfer agreements
 Research agreements, etc.
o Handling ancillary contractual matters such as:
 Amendments
 Terminations
 Extensions of existing contracts
o Review of promotional and educational materials in view of compliance with applicable laws and regulations.
o Draft templates and term sheets for standard contracts.
• Assist with the design and implementation of an automated contract management system that facilitates access to and use of templates, digital execution of contracts and storing and sharing of executed contracts and other documents.
• Assist with the design and implementation of a knowledge management system.
• Assist business and other legal functions on, as necessary, regulatory, HR legal, litigation, data privacy, records retention, corporate legal and transactional matters.
• Other tasks as designated by supervisor.

Requirements

• At least 5+ years’ experience in legal practice.
• Preferably experience as in‐house legal counsel in the pharmaceutical, animal health, food industry, or other consumer oriented or regulated industry.
• Juris Doctor or equivalent legal degree.
• Demonstrated skills in providing strategic advice and leadership, including the ability to persuade and influence decision‐making.
• Pragmatic, solution-oriented attitude.
• Excellent communication skills in English (spoken and written).
• Self-motivated, hard-working, detail-minded, clear thinker, quick learner, team player and ability to work independently under pressure with minimum supervision.
• Strong team player skills and attitude.
• Sound business acumen and commercial awareness and practically-oriented, ability to identify and resolve legal issues quickly and effectively, ability to provide solution-oriented legal advices.
• Clear capability to collaborate cross‐functionally and within legal function, in the context of both supervisory and non‐supervisory relationships.
• Experience in international business and commercial transactions.
• High degree of computer literacy, familiar with all Microsoft applications.
